2007-2008 Standing Rules

These standing rules shall be in compliance with the Washington State PTA Uniform Bylaws, referred to in this document as Uniform Bylaws.

  1. The name of this Council shall be Northshore Council PTSA 6.10, chartered by the Washington State PTA in October, 1980.

  2. This Council serves all children and youth in the Northshore Community.

  3. This Council is a non-profit corporation recognized by the State of Washington on September 12, 1979.  The corporation number is 2-292490-6.  The treasurer is responsible for filing the annual corporation report prior to September 30.  The registered agent for this corporation is the Washington State PTA.

  4. This Council is registered with the Secretary of State under the Charitable Solicitations Act.  The treasurer is responsible for filing the annual registration prior to May 31st.

  5. This Council’s Federal Employer Identification Number (EIN) can be found in the Northshore Council PTSA 6.10 Legal Documents notebook.

  6. This Council was recognized by the IRS as a Non-Profit Tax Exempt Organization on April 25, 1980, under section 501C(4).  This Council applied for Recognition of Exemption Under Section 501 ( c ) (3) of the Internal Revenue Code in January, 2005.  Recognition granted December 06, 2005.

  7. The current treasurer is responsible for filing IRS Form 990EZ or 990N as required.

  8. This Council shall keep at least two notebooks, each with copies of its legal documents.  The original and a copy is to be kept with the President or in the PTA office.  The Secretary shall be responsible for reviewing and updating both Legal Document notebooks.

  9. The membership service fee of this Council shall be $1.50 per person.

  10. The elected officers of this Council shall be President, First Vice President, Vice Presidents from each of the three Areas (Bothell, Inglemoor and Woodinville), Legislative Vice President, Secretary and Treasurer.  These elected officers shall constitute the Executive Committee.

  11. Any elected position, other than treasurer, may be held jointly by two (2) people.  Each co-position holder shall be entitled to voice and vote at all meetings.

  12. The Board of Directors shall consist of the Executive Committee, and the following Standing Committee chair/co-chair people, appointed by the Council President(s): Business Recognition, Emergency Preparedness, Hospitality, Membership, Newsletter, Webmaster.  All members of the Board of Directors must be current PTA members of at least one of the member units.

  13. The Council’s Ad Hoc Committee chair people shall be appointed by the Council President(s) and may consist of but not be limited to:

·         Principals and Presidents Lunch

·         Council Awards

·         Life After High School

·         Convention Coordinator

·         Directory

·         Founders Day

·         Reflections

·         Scholarships

·         Social Services

·         Spring Recognition

·         Wall of Honor

These committees will be either standing or ad hoc by decision of the current year’s Board of Directors.

  1. The Council Board of Directors will meet at least three (3) times per year.

  2. A majority of the Council Board of Directors shall constitute a quorum.

  3. General Membership meetings of this Council shall be held on a regularly scheduled basis as published.  Changes of meeting dates may be made as deemed necessary by the Board of Directors.  General membership meetings shall be held to adopt the annual budget, approve the standing rules, elect a nominating committee and elect Washington State PTA Convention voting delegates.

  4. The Annual Council General Meeting will be held in March to elect officers.

  5. The annual operating budget shall be approved in the spring of each year.

  6. The “Golden Acorn” award(s) will be presented annually at the Founders’ Day Dinner.  The “Outstanding Advocate Award”, the “Outstanding Educator Award” and the “Outstanding Service Award” will be presented annually at the Northshore Council PTSA 6.10’s Spring Recognition Event.  The respective committees, as appointed by the president(s) shall select the current year recipients from among active PTA leaders/volunteers in Northshore. 

  7. The voting body of the Northshore Council PTSA 6.10 will consist of the Council Board of Directors, Council ad hoc committee chairs and up to 4 representatives from each local unit in Northshore.  One tenth of the voting delegates shall constitute a quorum, but shall be no less than 15.

  8. Voting delegate to the Legislative Assembly shall be the Legislative Vice President, unless otherwise designated by the Board of Directors.

  9. Voting delegates to the annual Washington State PTA Convention shall be elected from the incoming officers by the General Membership.

  10. Delegates to the National PTA Convention shall be the incoming president(s) or alternates as determined by the Board of Directors.

  11. The standing rules shall be adopted annually by a majority vote at a fall general membership meeting.

  12. Standing rules may be amended at any regular general membership meeting by a majority vote of the members present.

  13. Council shall conduct a mid-year financial review of its books in addition to the required financial review at the close of the fiscal year.

  14. The vote of this Council for the position of Washington State Region Director shall be determined by the Board of Directors.

  15. Signatures of three (3) or more elected officers shall be on the authorized signature card for this Council’s bank account(s).  Two (2) signatures are required on all checks.

  16. All contracts require the signature of two Executive Committee members.
